1. Key Terms:
   Advertisers accept and acknowledge the following without conditions and limitations:
   
   • A) All advertisers or persons placing ads are solely responsible for the keywords selected, any and all advertisement content and advertisement URLs, and advertisement graphics, whether created by you or by a third party
   • B) Advertisers will keep all information in their Advertiser Section up to date and accurate
   • C) You, the advertiser, hereby give Anoox the right to copy, distribute, and display your advertisement
   • D) All advertisers are responsible for protecting all access info, including passwords, to their Advertiser Section
   • E) Anoox reserves the right to cancel any advertisement or advertiser account with or without notice. You may cancel your advertisement by accessing your Advertiser section

2. Refund policy:
   Your purchase of Advertising on Anoox network comes with a 14 Days Satisfaction GUARANTEE, as detailed here.

3. Our Advertising system:
   You have read and fully agree to and consent with how our Advertising system and Billing works as described here. In particular with the fact that all Advertising accounts are opened with Auto-Rebill On to ensure that your Ads stay on-line once your initial balance runs out, which Auto-Rebill you can Opt to set to Off as you like.

4. Self-managed System:
   You understand and fully agree to and consent with the fact that Anoox Advertising system is a fully Self-managed System, so that you are fully responible for uploading your Ads, Editing your Ads, Setting your Ads off-line or on-line, setting the Auto-Rebill on your account to Off or On, etc.

5. Prohibited Activities:
   You shall not, and shall not authorize any party, to engage in the following activities:
   • a) generate automated or fraudulent impressions
   • b) generate automated or fraudulent clicks on paid listings
   • c) advertise anything illegal or engage in any illegal or fraudulent business practice in any state or country where your ad is displayed
   • d) violate or encourage violation of any applicable laws through the Websites linked to or from your Ads, as well as the companies the Websites represent, their products and services

   Any violation of these Terms and any of the Prohibited Activities will result in immediate cancellation of this Agreement without notice and in such case any balance remaining on your account will not be refunded.

6. Limitation of Liability:
   Anoox DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION FOR NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR ANY PURPOSE. NEITHER PARTY WILL BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY; AND EACH PARTY'S AGGREGATE LIABILITY TO THE OTHER IS LIMITED TO AMOUNTS PAID OR PAYABLE TO Anoox BY YOU FOR THE ADVERTISEMENT GIVING RISE TO THE CLAIM.

7. Force Majeure:
   Except for payment, neither party is liable for failure or delay resulting from a condition beyond the reasonable control of the party, including but not limited to acts of God, government, terrorism, natural disaster, labor conditions and power failures.

8. Indemnification:
   You shall indemnify, defend and hold Anoox, its directors, officers, employees, agents, affiliates, and licensors harmless from any third party claim or liability (including without limitation reasonable legal fees) arising out of your advertising use, and/or breach of the Agreement.

9. Choice of law:
   These Terms are governed by South Carolina law without regard to its conflict of laws provisions; and you consent to exclusive jurisdiction in Charleston County.

10. General:
    These Terms constitute the entire agreement between the parties with respect to the subject matter hereof.

11. Important Notice and policy:
    Anoox reserves the right to modify any Ads in order to comply with Anoox editorial policy. Anoox reserves the right to reject any Ads that in our sole discretion does not meet to the editorial or standards of the Anoox Network.
